How many contracts can I sign for free every month?+
Three. Legal Foundations gives you 3 signature credits every month, refreshed automatically and with no card needed, and one credit is one document sent for signature. All three NDA templates are included, plus 25% off top-ups and complimentary access to the Heyouthere community. The Collaboration Toolkit (CHF 255) and the Founders Toolkit (CHF 425) keep those 3 monthly credits and add a one-time pool on top: 10 and 20 credits respectively. The Founders Toolkit includes every template in the Collaboration Toolkit.
How does the credit system work?+
One credit = one document sent for signature, and every template costs the same 1 credit, whatever its type. Adding a co-signatory is 1 extra credit, and it is included with the Founders Toolkit. If you run out you can top up on any plan: 5 credits for CHF 15, 10 for CHF 25, or 25 for CHF 49, with 25% off for Legal Foundations members. Top-up credits do not expire, unlike the monthly Legal Foundations allowance, which resets each month and does not carry over.
Can I negotiate the terms with the counterpart directly online?+
Yes. Every document has its own message thread: the counterpart can ask questions and flag the specific clauses they want changed, and you review each request and accept or reject it, until you agree the final wording. Everything stays on the document, so there is no email chain to reconstruct. The first three revisions are free; after that, each further revision uses 1 credit.
Can I edit the contract templates you provide?+
Yes. What we give you is a base to adapt, not a fixed form. The Collaboration and Founders Toolkits include full contract editing, so you change the text of the contract itself before sending it; on Legal Foundations you negotiate the clauses with the counterpart rather than rewriting the text, and you can add a Toolkit at any time to unlock full editing. Whenever a change affects what the agreement actually commits you to, we recommend having it reviewed rather than sending it as it is: both Toolkits include a 30-minute session with our legal partner, and further support can be arranged when a project needs it.
Can my business partner approve the contract before it is sent to the counterpart?+
Yes, that is what the second signatory is for. You add a co-signer on your side and they receive the document by email before Party B ever sees it: they can read it in full, ask you for changes, or co-sign on behalf of the company or project. The document goes out to the counterpart only once they have co-signed. On a Founders Agreement the co-signer is a second founder. Adding a co-signatory costs 1 extra credit, and it is included with the Founders Toolkit.
Does the counterpart need to create an account?+
No. They receive a link by email, can read the full contract, request changes (if your plan allows), and sign, all without creating an account or downloading anything.
Are your contracts specifically designed for the Swiss market?+
All templates on Heyouthere Legal have been developed and reviewed with Swiss legal professionals, so you are not using generic internet templates, but documents drafted for use under Swiss law.
Can I use this if I am not based in Switzerland?+
Templates are drafted under Swiss law, making them particularly suitable for Swiss companies or collaborations involving Swiss parties. For parties in other jurisdictions, we recommend local legal advice.
Which agreement should I use, and when?+
They follow the life of a collaboration. An NDA comes first, when the conversation moves past the general idea and you need to share details. A Trial Cooperation Agreement is for testing a collaboration before committing to anything more formal: it frames what each side expects while you find out how you actually work together. A Long-Term Cooperation Agreement is for a partnership that has proven itself and is set to continue. A Founders Agreement is for when you have found a co-founder and want to set the bases between you before the company is officially incorporated. If a signed contract later needs to change, the Contract Amendment Letter modifies specific clauses without redoing the whole document.
Do we need a written agreement if we have not set up a company?+
Often yes, and earlier than people expect. Under Swiss law, two or more people who pursue a common purpose together can already form a simple partnership (Code of Obligations, articles 530 to 551) without registering anything and without signing anything: it arises from the facts, and, subject to contrary agreement, the partners are then jointly and severally liable for obligations to third parties contracted jointly or through representatives (article 544 paragraph 3). Our agreements deal with this directly. Each NDA carries a No simple partnership clause, stating that your discussions, exchanges of information and preparatory work do not create a simple partnership, a joint venture or any other form of association. The Trial and Long-Term Cooperation Agreements state that the parties are independent contractors and that nothing in the agreement creates a partnership, joint venture or employment relationship. The Founders Agreement does the opposite on purpose: it sets out the terms of the relationship you do want, before the company exists. Who provides the legal support included with the Toolkits?+
When legal support is included in your Toolkit, Heyouthere connects you with our legal partner through the platform, and you see who they are before you book.
